client services agreement

This Client Services Agreement (“Agreement”) is entered into between Trailhead Career Consulting, owned and operated by Felicia Royce (“Consultant”), and the undersigned client (“Client”). By scheduling services, submitting payment, or participating in any session, Client agrees to the terms below.

1. Purpose of Services

Trailhead Career Consulting provides career consulting, coaching, and professional development support. Services may include, but are not limited to:

  • Career clarity and direction‑setting
  • Strengths, values, and identity exploration
  • Résumé, CV, and LinkedIn consulting
  • Job search strategy and outplacement support
  • Interview preparation and networking guidance
  • Confidence and mindset coaching related to career development
  • Support navigating burnout, impostor syndrome, and career transitions
  • Entrepreneurial exploration and professional branding

 

Consultant’s approach integrates evidence‑based career development practices, psychology‑informed coaching, and nearly two decades of experience in higher education and career services.

2. Important Disclaimers

2.1 Not Therapy or Mental Health Treatment

Felicia Royce is not a licensed therapist, counselor, psychologist, or mental health provider.

Services do not include diagnosis, treatment, or management of mental health conditions.

Career mindset coaching is supportive in nature and is not a substitute for therapy.

2.2 No Legal, Financial, or Medical Advice

Felicia Royce does not provide:

  • Legal advice
  • Financial, tax, or investment advice
  • Medical or clinical advice

Any decisions made by Client based on discussions, materials, or recommendations are the sole responsibility of the Client.

2.3 Client Responsibility

Client acknowledges that:

  • All career decisions, job search outcomes, and professional actions are their own responsibility.
  • Consultant cannot guarantee employment, salary increases, promotions, or specific outcomes.
  • Coaching is a collaborative process requiring active participation.

3. Scope of Services

Services are tailored to Client needs and may include one or more of the following:

  • Discovery Call (30 minutes, free): Used to determine goals, fit, and pricing.
  • Career Consulting Packages: Personalized coaching sessions, assessments, résumé/LinkedIn support, job search strategy, interview prep, networking guidance, and mindset coaching.
  • Standalone Services: Such as résumé audits, LinkedIn optimization, interview prep, or career clarity sessions.

All services are delivered virtually unless otherwise agreed in writing.

4. Fees and Payment

  • Pricing is discussed transparently during the Discovery Call and will be put in writing after agreed upon by Trailhead Career Consulting and Client. 
  • Because services are personalized, fees may vary within the stated ranges.
  • Payment is due prior to the first session of any package unless otherwise agreed.
  • Payments are non‑refundable once services have begun.
  • If Client cancels or reschedules with less than 24 hours’ notice, the session may be forfeited at Consultant’s discretion.

5. Term and Termination

Either party may terminate this Agreement at any time with written notice.

If Client terminates early, unused sessions may be forfeited unless otherwise agreed.

Felicia Royce may terminate the relationship if Client engages in inappropriate, abusive, or unethical behavior, or if Consultant determines that Client’s needs fall outside the scope of career consulting.

6. Confidentiality

Consultant will maintain the confidentiality of Client information except when:

  • Required by law
  • There is concern for Client or others’ safety
  • Client provides written permission to share information

Consultant may use anonymized, non‑identifying information for professional development or business improvement.

7. Client Conduct and Expectations

Client agrees to:

  • Participate actively and honestly in the coaching process
  • Complete agreed‑upon tasks or exercises
  • Communicate scheduling needs promptly
  • Maintain respectful communication

Consultant agrees to:

  • Provide professional, ethical, and supportive services
  • Maintain clear communication and boundaries
  • Offer evidence‑based, personalized guidance

8. Intellectual Property

All materials, frameworks, worksheets, and content provided by Consultant are the intellectual property of Trailhead Career Consulting. Clients may not share, reproduce, or distribute materials without written permission.

9. Limitation of Liability

Client agrees that Consultant is not liable for:

  • Employment outcomes
  • Decisions made by Client
  • Actions taken by Client based on coaching
  • Any indirect, incidental, or consequential damages

Consultant’s total liability under this Agreement shall not exceed the amount paid by Client for services.

10. Governing Law

This Agreement is governed by the laws of the State of Oregon. Any disputes shall be resolved in the appropriate courts of Oregon.

11. Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes any prior agreements, written or verbal. Modifications must be made in writing and agreed to by both parties.

12. Acceptance

By signing below, or by scheduling, paying for, or participating in services, the client acknowledges and agrees to all terms of this Agreement.
